Job Duties:

  • In-house legal counseling.
  • Advise the company on corporate and business law issues. Draft, negotiate, and review various business contracts, agreements, and other legal documents.
  • Advise the company on various tax law issues, such as compensation for services, fringe benefits, business deductions and credits, capitalization, depreciation, and amortization. Interpret and apply the tax rules to determine the tax consequences of transactions and activities.
  • Advise the company on intellectual property matters, including the novelty of patents, trademark dilution, fair use of IP, disclosure-dedication rule, tests for non-obviousness of patents, and statutory bars to patents. Draft, negotiate and review contracts and other legal documents related to IP licensing, copyright, trademarks and patents.
  • Advise the company on regulatory compliance. Monitor legislative developments in micromobility industry, such as kick scooters, hoverboards and e-bikes. Properly interpret laws and regulations using appropriate methodologies and theories, such as contextualism, textualism, stare decisis, pragmatism, textual and substantive canons, and deference.
  • Advise the company on litigation matters related to intellectual property, tax, government enforcement actions, commercial contract, and product liability. Develop litigation strategies and work with outside counsels. Conduct internal investigation in support of lawsuit. Prepare documents and draft responses to various discovery requests.

 

Minimum Requirements:

Juris Doctor (J.D.) degree or foreign equivalent degree required. Must be an active licensee of a State Bar in the U.S.

 

Required skills:

  • Demonstrated knowledge of federal income tax law, including rules on compensation for services, fringe benefits, business deductions and credits, capitalization, depreciation, and amortization;
  • Demonstrated knowledge of corporate governance and business law;
  • Demonstrated knowledge of copyright and trademark laws, including fair use and trademark dilution; and
  • Demonstrated knowledge of patent law, including the novelty of patents, disclosure-dedication rule, tests for non-obviousness of patents, and statutory bars to patents.
